A transaction advisor has already been appointed to evaluate strategic options, though Raubex notes that discussions are still at a preliminary stage.Context: The "vertical integration" experimentTo understand the significance of this move, investors should look back on Raubex’s aggressive acquisition trail over the past few years. Raubex, traditionally known as a road builder and materials-handling expert, completed the full acquisition of Bauba Resources in 2022 and subsequently delisted it from the JSE. It was a phased entry, with 23% acquired in April 2021 and a further 24.7% in February 2022, before buying out minority shareholders and delisting Bauba later that year. At the time, the logic was one of vertical integration. Raubex was already providing contract mining and materials handling services to Bauba. By buying the mine, the argument went, Raubex could capture the full margin—not just the fee for digging the dirt, but the profit from selling the commodities (specifically chrome) to international markets.For a while, this paid off. The chrome market experienced a significant boom, and Bauba’s contribution to Raubex’s earnings was substantial, at times acting as a hedge when the traditional construction sector was sluggish due to a lack of government tenders..Why the reversal?However, the decision to sell suggests a return to "sticking to the knitting."Owning a mine fundamentally changes a construction company's risk profile. The market values Raubex as an infrastructure stock, based on its order book, execution capability, and government spending cycles (SANRAL tenders). Bauba, however, exposed the group to the volatility of global commodity prices and currency fluctuations.When chrome prices are high, Bauba is a cash cow. When they fall, it becomes a drag on the balance sheet that a construction company cannot easily engineer its way out of.In its FY2026 Interim Results published on 10 November 2025, management explicitly stated that it was "evaluating the long-term strategic direction" of Bauba. Today’s cautionary is the action of that statement. It suggests that Raubex leadership may have decided that the complexity of managing a volatile resource asset outweighs the benefits of diversification.A return to core competenciesThe potential disposal comes at a time when South Africa’s infrastructure sector is seeing renewed activity. With significant SANRAL projects underway and a broader focus on logistics and energy infrastructure in South Africa, Raubex’s core divisions—Roads and Earthworks and Materials Handling—are likely to require greater capital and attention.Selling Bauba could release significant capital. If the transaction proceeds, Raubex could use the proceeds to:Fortify the balance sheet for large infrastructure tenders.Return value to shareholders via a special dividend or share buybacks.Invest in core machinery to service its growing construction order book.What next for investors?This is a classic "sum of the parts" play. The market often applies a "conglomerate discount" to companies that hold disparate assets. By unbundling or selling the mining arm, Raubex becomes a cleaner, pure-play infrastructure investment case.However, the cautionary advises that the transaction—if it happens—could have a material effect on the share price. If Raubex can find a buyer willing to pay a premium for a fully operational chrome producer, the market is likely to react positively.
